- Assist Senior Fund administrator in summarizing and monitoring administrative, compliance with secretarial action items in legal agreements
- Maintain filing of legal agreements
- Company secretarial
- Maintain filing of all legal agreements, company secretarial documentation etc
- Assist senior fund administrator with discharging responsibility for overseeing company filing system
- Liaise with Management Company and Independent Directors to set up meetings (Board meetings, Committee Meetings etc.)
- Drafting resolutions, preparing and maintaining templates,
- Preparation of internal committee meeting Minutes and reviewing minutes prepared by Management Company
- Assist Senior Fund administrator in overseeing management company
- Maintaining and monitoring various statutory and compliance registers (directors, shareholders, etc.) and ensure Registers are up to date on a quarterly basis
- Assist Senior Fund Administrator in maintaining Policies and Procedures.
- Create and maintain Company secretarial calendar for Portfolio Companys/Holding Companies year end, AFS, reporting dates, obligations etc
- Assist the Senior Fund administrator in managing the process for establishment of legal entities
- Exchange control reporting
- Assist Senior Fund Administrator in discharging responsibility for monitoring compliance with Exchange Control requirements
- Assist with preparation of exchange control applications
- Ongoing exchange control reporting (maintain register of reporting obligations; prepare annual reports etc)
- Responsible for exchange control filings
- Policies Administration & Fund Administration
- Documentation of monitoring and compliance with company policies
- Maintaining register of training and ensuring all staff remain compliant
- Collating information and update register of policies
- Documentation of compliance with policies
- Assist with development of Convergence Standards for board packs
- Develop and maintain register of board meetings (board calendar)
- KYC requirements
- Assist Senior Fund Administrator with:
- Maintaining documentation of KYC policies, processes and procedures.
- Ensuring compliance with KYC requirements under all applicable legislation, agreements and side letters and maintain summary of required procedures;
- Maintaining "auditable" files of KYC documentation gathered. Manage information gathered, including appropriate tracking and
- Manage collection and maintenance of KYC information for counterparts (e.g. in relation to new deals etc)
- Liaise with different counterparties (investor, investees, transferors etc) for completion and maintenance of requisite KYC information and requirements
- Maintain tracker for KYC documents and frequency of KYC review for each counterparty
- Statutory Compliance
- Oversight of compliance with applicable legislation
2-3 years of experience in a similiar role
- Ad hoc responsibilities
- Assist with ad hoc requests including the following:
- Deal close, documentation
- Reporting obligations
- ESG and Impact reporting, specifically ABAC and AML policies and governance issues at underlying Portfolio Companies
- Assist Senior Fund Administrator with various aspects related to internal compliance monitoring.
