As our ideal candidate, you have obtained your LLM with a specialisation in Contract Management and are equipped with at least 5 years of experience in project finance, banking, and finance, or a related field, with a focus on infrastructure. You have experience in managing legal aspects of project transactions from the bidding and tendering stage up to the financial close. You are a highly competitive professional who is equipped with sound knowledge of industry regulations and has shown compliance with NERSA requirements throughout your bidding engagements procedures. With your strong and proven track record of working on the negotiation of mandates and term sheets with lenders, you have successfully secured the contract for renewable energy projects in the developer and IPP space. You have employed your expertise in a strategic manner to pinpoint potential shortcomings and minimize legal and compliance risks while developing bids.
You possess a strong focus on delivering practical and effective solutions with a keen eye on business outcomes, that align with the project mandates. You are ideally, a detail-oriented professional with excellent analytical, problem-solving, and decision-making skills. Your communication and negotiation skills are exceptional, enabling you to work effectively with internal and external stakeholders. As a detail-oriented professional, you have successfully managed a diverse portfolio of complex projects with a positive and proactive attitude. Education Requirements
- LLM / LLB
- Proven experience in negotiating, preparing, and reviewing legal agreements, including PPA, EPC, and O&M agreements experience within the renewable energy industry is preferable
- You have effectively managed the drafting of notices and obtaining consent, oversaw the CP checklist
- Provided a legal review on the preparation and implementation of transaction documents such as PPAs, IAs and DAs
- You have gained valuable working experience from at least one of the big 5 law firms in South Africa
As the leading legal function supporting the Head of Transactions, your specific responsibilities include implementing renewable energy project transactions by negotiating, preparing, and reviewing legal agreements to bring them to a financial close. You'll lead the legal review and approval of the project and financial documents, support the Head of Legal with legal advisor appointments and legal due diligence processes, assist with transaction structuring, and coordinate with other departments to meet timelines and deliverables. You'll play a vital role in ensuring that the projects meet all legal requirements and are executed with precision and care. As a key member of the team, you'll collaborate with Engineers, Project Managers, and other professionals to negotiate contracts, manage risks, and ensure compliance with industry regulations such as NERSA. When capacity allows, you'll also support other in-house teams responsible for project development and implementation.
