Main Purpose
The primary objective of the Debt Capital Markets ("DCM") function is to ensure that Transaction Capital and its subsidiaries have access to sufficient liquidity and term debt from the external debt capital markets, for both organic and acquisitive growth, on favourable market terms and conditions.
It is the responsibility of the DCM deal implementation team to ensure the effective implementation of all transactions originated in line with the set of terms agreed with debt investors.
We are looking for an energetic junior legal counsel to join the DCM Deal Implementation team who will be responsible for implementing a variety of debt raising transactions. The types of transactions include bilateral and syndicated loan transactions, securitisations, and structured debt finance deals. The role involves running all work streams associated with deals from inception to close, as well as post close deal management. Specific responsibilities will include advising on deal structure, negotiating, drafting and commenting on transaction agreements, as well as liaising with and coordinating internal and external stakeholders.
This role is suited to a recently qualified attorney that is keen to join a dynamic organisation and gain exposure to all elements of the transaction process.
Accountabilities
- The core focus of the DCM: Deal Implementation function is the implementation of debt capital raising transactions, including:
- Project management (including preparation of detailed timelines, management of costs, etc.);
- Drafting agreements, resolutions and other deal documentation;
- Briefing attorneys;
- Reviewing and negotiating legal agreements, term sheets, NDA's and mandate letters;
- CP Fulfilment and closing transactions and handing over to the necessary teams internally to ensure correct deal maintenance;
- Incorporating new corporate structures where necessary (including company secretarial aspects); and
- Liaising with all deal counterparties (TC Group entities, debt investors, advisors, rating agencies, etc.) through to closing.
- Assisting with the conceptualisation, design and structure of debt transactions with the primary responsibility for implementation of such transactions including:
- Documentation preparation (i.e. implementation deal sheets, project plans, business overviews, Q&A and general correspondence);
- Considering the impact of relevant legislation (i.e. Companies Act, Income Tax Act, Banks Act, NCA, etc.);
- Considering the impact on accounting treatment and corporate reporting;
- Considering the impact on general business operations and processes; and
- Considering the impact on group's greater capital and risk structure.
- Assisting with the distribution of the debt instruments into the capital markets, including responding to credit queries and review of funder reporting prior to distribution by the reporting team
- On-going Relationship Management with external counterparties and internal capital markets teams ensuring streamlined deal management:
- Manage all liaison with counterparties (External lawyers, TC Group entities, debt investors, advisors, rating agents, etc.) in an effective manner; and
- Develop an effective working relationship with the deal origination team to ensure efficient implementation of transactions.
- Assisting on an ad hoc basis with the consideration and implementation of special projects, including:
- Conceptualisation of new business products;
- Scoping and performing due diligence investigations;
- Corporate restructures; and
- Assisting with acquisitions of assets and businesses.

- LLB degree (Required)
- Experience in a commercial legal practice (including reviewing, drafting and/or negotiating commercial agreements and assisting in providing legal advice in transactions (preferably debt transactions)) or internal counsel within a bank or similar financial institution/asset manager.
