Key Responsibilities
Legal Team Supervision:
- Supervise and lead the legal team, providing guidance, mentoring, and professional development opportunities.
- Ensure the legal team is effectively supporting the company's legal needs and objectives.
- Allocate and manage the legal teams workload to ensure timely and accurate completion of legal tasks.
- Draft, review, and negotiate a wide range of commercial contracts, including partnership agreements, service level agreements, and other legal documents related to cell captives and other strategic initiatives.
- Ensure all contracts are legally sound, align with business objectives, and protect the company's interests.
- Provide expert legal advice on partnership arrangements, including the establishment and management of cell captives.
- Ensure all partnership agreements comply with relevant laws, regulations, and industry standards.
- Advise on the legal and regulatory aspects of forming and managing cell captives.
- Ensure compliance with insurance laws and regulations governing cell captive structures.
- Identify and assess legal risks associated with commercial contracting and partnership arrangements.
- Develop strategies to mitigate potential liabilities and ensure compliance with applicable legal and regulatory requirements.
- Advise on corporate governance issues related to partnership arrangements and cell captives.
- Ensure adherence to corporate governance frameworks and practices within the life insurance sector.
- Provide guidance and advice on legislation and regulatory developments impacting the life insurance licence.
- Ensure that the company remains compliant with all legal requirements pertaining to its life insurance operations.
- Monitor changes in laws and regulations and assess their impact on the company's business activities.
- Manage and oversee corporate litigation matters, including disputes arising from commercial contracts, partnership arrangements, and regulatory compliance.
- Coordinate with external legal counsel and represent the company in legal proceedings when necessary.
- Develop litigation strategies to protect the company's interests and minimise legal risks.
- Work closely with business units, including business development, distribution, finance, and operations, to provide legal support and ensure alignment with business objectives.
- Act as a liaison with external stakeholders, including regulatory bodies and external legal counsel.
- Develop and update policies and procedures related to commercial contracting, cell captives, legislative compliance, and corporate litigation to reflect changes in law and best practices.
- Educate staff on legal issues and promote a culture of legal awareness and compliance.
- Participate in strategic planning and provide legal insights to support the company's growth and business strategies.
- Assist in mergers, acquisitions, and other significant corporate transactions related to partnership arrangements and cell captives.
