SENIOR LEGAL ADVISOR

Responsible for the provision of specialised legal expertise to support Hollard Life Solutions commercial operations, particularly focusing on partnership arrangements and cell captive structures. This role involves drafting, reviewing, and negotiating complex contracts, ensuring compliance with applicable laws and regulations, and mitigating legal risks associated with these strategic partnerships. Additionally, the Senior Legal Advisor provides guidance on legislation affecting the life insurance licence, manages corporate litigation, and ensures that the company adheres to regulatory requirements. The Senior Legal Advisor collaborates closely with internal stakeholders to facilitate business objectives and foster robust, legally sound commercial relationships.

Key Responsibilities

Legal Team Supervision:

• Supervise and lead the legal team, providing guidance, mentoring, and professional development opportunities.
• Ensure the legal team is effectively supporting the company's legal needs and objectives.
• Allocate and manage the legal teams workload to ensure timely and accurate completion of legal tasks.

Commercial Contracting

• Draft, review, and negotiate a wide range of commercial contracts, including partnership agreements, service level agreements, and other legal documents related to cell captives and other strategic initiatives.
• Ensure all contracts are legally sound, align with business objectives, and protect the company's interests.

Partnership Arrangements

• Provide expert legal advice on partnership arrangements, including the establishment and management of cell captives.
• Ensure all partnership agreements comply with relevant laws, regulations, and industry standards.

Cell Captives Management

• Advise on the legal and regulatory aspects of forming and managing cell captives.
• Ensure compliance with insurance laws and regulations governing cell captive structures.

Risk Management And Compliance

• Identify and assess legal risks associated with commercial contracting and partnership arrangements.
• Develop strategies to mitigate potential liabilities and ensure compliance with applicable legal and regulatory requirements.

Corporate Governance

• Advise on corporate governance issues related to partnership arrangements and cell captives.
• Ensure adherence to corporate governance frameworks and practices within the life insurance sector.

Legislative Guidance

• Provide guidance and advice on legislation and regulatory developments impacting the life insurance licence.
• Ensure that the company remains compliant with all legal requirements pertaining to its life insurance operations.
• Monitor changes in laws and regulations and assess their impact on the company's business activities.

Corporate Litigation

• Manage and oversee corporate litigation matters, including disputes arising from commercial contracts, partnership arrangements, and regulatory compliance.
• Coordinate with external legal counsel and represent the company in legal proceedings when necessary.
• Develop litigation strategies to protect the company's interests and minimise legal risks.

Stakeholder Collaboration

• Work closely with business units, including business development, distribution, finance, and operations, to provide legal support and ensure alignment with business objectives.
• Act as a liaison with external stakeholders, including regulatory bodies and external legal counsel.

Policy And Procedure Development

• Develop and update policies and procedures related to commercial contracting, cell captives, legislative compliance, and corporate litigation to reflect changes in law and best practices.
• Educate staff on legal issues and promote a culture of legal awareness and compliance.

Strategic Legal Advice

• Participate in strategic planning and provide legal insights to support the company's growth and business strategies.
• Assist in mergers, acquisitions, and other significant corporate transactions related to partnership arrangements and cell captives.
